Proposed Terms of Use/Service: 

Please read these Terms of Service (together with SheBuilds LLC’s Privacy Policy, located at Privacy Policy | Kitchen Design, Build & Remodel Contractor carefully before using the website SheBuilds, LLC, LLC Kitchens | Kitchen Design, Build & Remodel Contractor (the “Site”) or our Podia-hosted subdomain courses.shebuildskitchens.com (together with the Site, the “Services”).

These Terms of Service form a legally binding agreement between you and SheBuilds LLC (“SheBuilds LLC,” “we,” “us,” or “our”) regarding your access to and use of the Services, including all features, content, and applications provided by SheBuilds, LLC, LLC.

1) Acceptance of Terms

By registering for, accessing, or using the Services in any way (including simply browsing the Site), you agree to be bound by these Terms of Service, the Privacy Policy, and, where applicable, the EU Data Processing Addendum, along with any other guidelines, operating rules, or policies we may publish from time to time. All such documents are incorporated into these Terms by reference.

Certain features of the Services may be subject to additional terms, which will be posted with those features. Your use of those features constitutes your acceptance of any additional terms, which become part of these Terms of Service.

These Terms of Service apply to all users, including without limitation visitors, registered users, and contributors of content, materials, or services.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: 

Except for certain types of disputes described in the Arbitration section below, you agree that disputes between you and SheBuilds, LLC, LLC will be resolved through binding individual arbitration, and you waive your right to participate in a class action lawsuit or class-wide arbitration.

2) Eligibility

You must be at least 16 years old to use the Services. If you are under 16, you are not permitted to access or use the Services under any circumstances.

We reserve the right, in our sole discretion, to refuse to provide the Services to any person or entity and to change eligibility requirements at any time.

You are responsible for ensuring that your use of the Services complies with all applicable laws, rules, and regulations. Access to the Services is revoked where such access is prohibited or where providing the Services would conflict with any applicable law.

The Services are provided for your personal use only, unless otherwise expressly authorized. If you register on behalf of a company, organization, or another party, you represent and warrant that you have the legal authority to bind that entity to these Terms.

3. Registration and Account Security

Certain features—particularly those on courses,shebuildskitchens.com—require you to create an account on the Podia platform. When registering, you agree to:

1. Provide accurate and complete information.
2. Keep your account information up to date.
3. Not select or use a username:
   • that impersonates another person,
   • that infringes on another party’s rights without authorization, or
   • that is offensive, vulgar, or obscene.

You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your password. You may not share your login credentials or use another person’s account without permission.

You agree to notify us immediately if your eligibility changes, if your account is compromised, or if there is any unauthorized access or use.

You may request account deletion at any time, either through your Podia account dashboard or by contacting our team.

4. Processing of Personal Data

Your personal data will be handled in accordance with:

6. Definition
   For purposes of these Terms of Service, “Content” includes, without limitation: information, data, text, photographs, videos, audio clips, written posts and comments, software, scripts, graphics, interactive features, and any other materials generated, provided, or otherwise made accessible through the Services. “Content” also includes all User Content (as defined in Section X below, if applicable).
7. Notices and Restrictions
   The Services may include Content provided by SheBuilds LLC, our partners, or other users. Such Content is protected by copyrights, trademarks, service marks, patents, trade secrets, and other proprietary rights and laws. You agree to respect and maintain all copyright and proprietary notices contained in any Content accessed through the Services.
8. Use License
   Subject to these Terms, we grant you a limited, worldwide, non-exclusive, non-sublicensable, and non-transferable license to access and display Content solely for your personal use of the Services. Except as expressly permitted by us in writing, you may not reproduce, modify, distribute, store, sell, license, rent, or otherwise exploit any Content for commercial purposes or in a manner that infringes third-party rights.
9. Availability of Content
   We make no guarantee that any Content will remain available through the Services. We reserve the right, without obligation, to remove, edit, or modify any Content at any time, with or without notice, for any reason—including suspected violation of these Terms or applicable law—or for no reason at all.

6. Rules of Conduct

1. Prohibited Uses
   You agree not to use the Services for any purpose prohibited by these Terms or applicable law. You are responsible for all activity conducted under your account, including communications and any collection or use of data from other users.
2. Enforcement Rights
   We reserve the right to access, read, preserve, and disclose any information we reasonably believe is necessary to:

1. comply with any applicable law, regulation, legal process, or governmental request;
2. enforce these Terms, including investigating potential violations;
3. detect, prevent, or address fraud, security, or technical issues;
4. respond to user support inquiries; or
5. protect the rights, property, or safety of SheBuilds LLC, our users, and the public.

   Third-Party Services

The Services may contain links to, or otherwise allow you to access, third-party websites, services, or resources. Accessing third-party resources is at your own risk. We are not responsible for the content, functions, legality, accuracy, or appropriateness of any third-party site or service, nor does the inclusion of a link imply endorsement or association.

We are not liable for any damage or loss caused—or alleged to be caused—by your use of or reliance on any third-party content, goods, or services.

8. Payments and Billing

1. Paid Services
   Certain Services require payment (“Paid Services”). Any payment terms presented to you during sign-up or purchase are incorporated into these Terms. Payments are currently processed by our integrated payment provider, which may change in the future.
2. Billing
   We use a third-party payment processor (“Payment Processor”) to process payments through your account (“Billing Account”). Payment processing is subject to the Payment Processor’s terms, conditions, and privacy policies in addition to these Terms. We are not responsible for errors caused by the Payment Processor. By using Paid Services, you authorize us—through the Payment Processor—to charge your chosen payment method (“Payment Method”) for all applicable fees.
3. Payment Method
   The terms of your payment are determined by agreements between you and your Payment Method provider. If payment is not received, you agree to promptly pay all amounts due on your Billing Account upon demand.
4. Current Information Required
   You must provide and maintain accurate, complete, and current billing information, including billing address, Payment Method details, and security updates (e.g., lost/stolen card). Updates can be made via https://app.podia.com/settings. Failure to maintain current billing information may result in continued charges to your existing Payment Method or suspension of Services.

9. Warranty Disclaimer

1. No Special Relationship
   SheBuilds LLC has no fiduciary duty to you and no obligation to control:

1. which users access the Services;
2. what Content you access; or
3. how you interpret or use Content.

1. Content Disclaimer

 You release us from all liability related to your acquisition—or lack of acquisition—of Content through the Services. We make no representations or warranties regarding the accuracy, legality, or intellectual property compliance of any Content accessed via the Services.

1. “As Is” Services

The Services and all Content are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of title, non-infringement, merchantability, and fitness for a particular purpose. We do not warrant that:

1. the Services will be secure or available at any particular time or location;
2. any defects or errors will be corrected;
3. any Content or software is free from viruses or harmful components; or
4. results obtained from the Services will meet your expectations.

Some jurisdictions do not allow limitations on implied warranties, so these limitations may not apply to you.

1. Service Interruptions
   We do not guarantee uninterrupted or error-free operation of the Services. Interruptions may occur due to maintenance, updates, system failures, or other causes, potentially resulting in errors or data loss. We are not liable for damages arising from:

• interruptions or errors,
• data loss,
• incompatibility with your equipment,
• issues related to internet service providers,
• network congestion, or
• any other conditions beyond our control.

10) Indemnification
You agree to protect SheBuilds LLC and its affiliates, employees, directors, suppliers, and contractors from any claims, damages, or legal costs (including attorney fees) that come from:

• Your use or misuse of the site, services, or content
• Anything you post or upload
• Violations of these terms
• Infringing someone’s rights (intellectual property or otherwise)

If SheBuilds LLC chooses, it can take over the defense in such cases, and you must help them.

11) Arbitration & Class Action Waiver

1. Arbitration Agreement

• Most disputes between you and SheBuilds LLC will be resolved through binding, individual arbitration (not court).
• Arbitration will follow JAMS rules, unless JAMS can’t hold a hearing within 160 days—then it can switch to the American Arbitration Association.
• You cannot have a jury trial or join a class action lawsuit. You can only bring claims for yourself.
• Small claims court is still an option if it qualifies under that court’s rules.
• SheBuilds LLC can still go to court to protect its intellectual property rights.
• There are limits on appeals and discovery in arbitration.

1. 30-Day Opt-Out

• You can opt out of arbitration within 30 days of first agreeing to the Terms by mailing SheBuilds, LLC, LLC a written notice with your name, contact info, and a statement saying you don’t want arbitration.
• Opting out here only applies to these specific Terms, not to any other agreements you might have with them.

1. Severability

• If the ban on class actions is found unenforceable, the entire arbitration requirement becomes void.
• The arbitration agreement still applies even after your relationship with SheBuilds LLC ends.

12) Limitation of Liability

SheBuilds LLC and its affiliates aren’t liable for:

• Lost profits, lost data, or other indirect damages
• Bugs, viruses, or similar issues
• More than the greater of:
  • What you paid for the services in the last 3 months, OR
  • $500

13) Governing Law & Jurisdiction

Oregon law (and U.S. federal law) applies. If a court case happens, it must be in Clackamas County, Oregon.

14) Modification
SheBuilds LLC can change these Terms or the services anytime, with notice (site posting, email, etc.). You’re responsible for checking updates. If you keep using the services after changes, you’re agreeing to them.

 

15) Miscellaneous

• Entire Agreement: These Terms + Privacy Policy + Data Processing Addendum are the complete agreement.
• Force Majeure: Not responsible for things outside their control (natural disasters, outages, etc.).
• Assignment: You can’t transfer your rights under these Terms without permission; SheBuild LLC can transfer theirs anytime.
• No Agency: You’re not an employee, partner, or agent.
• Notices: Official notices follow specific delivery rules (mail, email, overnight delivery).
• No Waiver: Not enforcing a term once doesn’t mean it’s waived forever.
• Headings: Titles in the document don’t change the meaning.

• Some of the links on SheBuilds Kitchens | Kitchen Design, Build & Remodel Contractor or courses.shebuildskitchens.com are “affiliate links.” This means that if you click on a link and make a purchase, SheBuilds LLC will receive a commission at no additional cost to you. In this case, the affiliate relationship is with Amazon. 
• When affiliate links are used, SheBuilds LLC will clearly disclose the relationship at the beginning of each relevant blog post, page, or email newsletter, when applicable.
• SheBuilds LLC discloses this in accordance with the Federal Trade Commission’s 16 CFR, Part 255: “Guides Concerning the Use of Endorsements and Testimonials in Advertising.”

By purchasing and downloading any of our materials, you agree to these terms.

1. Access and Limitations

Upon successful payment via the Payment Processing Service, you will receive a link from Podia to download your digital product. SheBuilds LLC retains full ownership and rights to digital products and reserves the right to revoke access or cancel distribution if a user violates our terms of service (e.g. chargebacks, unauthorized use, copying, rebranding, or sharing of content).

Your purchase grants you a non-transferable, personal-use-only license to the product. You are not purchasing ownership of the content. Ownership remains solely with SheBuilds LLC.

2. Format and Compatibility

Digital products are delivered as PDF (Portable Document Format) files created in Canva.

To access and view these documents, you will need a PDF reader such as:

• pdfFiller

SheBuilds LLC is not responsible for compatibility issues with your software or device. While our products are designed for standard systems, we cannot guarantee future compatibility due to third-party software or device updates.

3. Usage Rights (Not Ownership)

Digital products remain the sole property of SheBuilds LLC.

• You are granted a single-user license for personal use only.
• Commercial use, redistribution, resale, editing, or rebranding (including changes to fonts, images, or layouts) is strictly prohibited.
• Sharing the product with third parties (including friends, family, or colleagues) is not permitted.

Violation of these terms may result in revoked access and/or legal action.

5. Liability Limitation

SheBuilds LLC, its owners, employees, contractors, subcontractors and affiliates shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use or misuse of our products.

In all cases, total liability is limited to the amount you paid for the digital product. For free downloads, total liability is $0. For all other digital downloads total liability is limited to $100. 

6. Payment Terms

• Full payment is required at the time of purchase as applicable (e.g. If the download has a listed cost).
• No payment plans or installment options are currently offered, though monthly memberships can be paid monthly or through the single annual payment as stated on the Sales Pages and/or in the specific course or product offering.

7. Cancellation & Refund Policy

No cancellations or refunds are available once a digital product is purchased.

• Due to the nature of digital products, all sales are final.
• By completing your purchase, you waive your right to a withdrawal or cancellation period, even if you have not yet downloaded the product; including under applicable consumer laws (such as the EU Digital Content Directive), as the product is delivered digitally and immediately accessible.

No refunds will be issued even if:

• The purchase was accidental or unauthorized.
• You experience buyer’s remorse.

8. Intellectual Property

All digital content is the intellectual property of SheBuilds LLC and protected under U.S. and international copyright law.

9. Indemnification

You agree to indemnify and hold harmless, SheBuilds LLC, from any claims, damages, or legal actions resulting from your use, misuse or unauthorized sharing of our content.

11. Product Updates & Future Access

We may update digital products from time to time.

• Access to updates is not guaranteed and may require repurchase.

If access to future updates is included in your purchase, it will be stated clearly at the time of sale (e.g., “1-year access” or “lifetime updates”).

12. Governing Law

These terms are governed by the laws of the State of Oregon. Any disputes shall be resolved exclusively in the courts located within Clackamas County, Oregon.
